1. Agreement to Terms

By accessing or using Easy.one (the "Service"), operated by Smart Apps Limited ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Easy.one is a white-label AI platform that allows agencies and businesses to deploy branded AI-powered services for their clients. The Service includes platform hosting, AI agent orchestration, workspace management, and related tools.

3. Account Registration

• You must provide accurate and complete registration information
• You are responsible for maintaining the security of your account credentials
• You are responsible for all activities under your account
• You must be at least 18 years old to use the Service
• One person or entity may not maintain more than one account without prior approval

4. Subscription and Payment

• The Service is offered on a subscription basis at the prices listed on our website
• Subscriptions are billed monthly or annually in advance
• All fees are non-refundable except where required by law
• We reserve the right to change pricing with 30 days' notice
• You are responsible for any third-party costs, including AI provider subscriptions (e.g. Claude, ChatGPT)

5. Bring Your Own Key (BYOK)

The Service operates on a bring-your-own-key model. You must provide your own AI provider subscriptions (e.g. Anthropic, OpenAI). We do not provide AI model access, resell AI tokens, or control pricing or availability of third-party AI providers.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Violate any applicable laws or regulations
• Infringe upon intellectual property rights of others
• Transmit harmful code, malware, or viruses
• Attempt to gain unauthorised access to the Service or its systems
• Use the Service to send spam or unsolicited communications
• Resell the Service itself (as opposed to reselling AI services powered by the platform)
• Generate content that is illegal, harmful, or violates third-party rights

7. White-Label Rights

Your subscription grants you the right to deploy the platform under your own brand. You may present the platform to your clients as your own product. You may not represent that you created the underlying technology, nor use Easy.one trademarks without permission.

8. Your Content

You retain ownership of all content you create, upload, or generate through the Service. You grant us a limited licence to host, store, and process your content solely to provide the Service. We do not use your content to train AI models or for any purpose other than service delivery.

9. Data Isolation

Each client instance operates on dedicated, isolated infrastructure. Data from one instance is not accessible to other instances. See our Privacy Policy for details on data handling.

10. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We are not liable for any downtime, data loss, or service interruptions caused by factors beyond our reasonable control.

11. Termination

• You may cancel your subscription at any time through your account dashboard or by contacting us
• We may suspend or terminate your account for breach of these Terms
• Upon termination, your right to use the Service ceases immediately
• We will provide a reasonable period to export your data following termination

12. Limitation of Liability

To the maximum extent permitted by law, Smart Apps Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.

Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless Smart Apps Limited from any claims, damages, or expenses arising from your use of the Service, your content, or your violation of these Terms.

14. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated with at least 30 days' notice. Continued use of the Service after changes take effect constitutes acceptance.

15. Governing Law

These Terms are governed by the laws of Hong Kong. Any disputes shall be subject to the exclusive jurisdiction of the courts of Hong Kong.
